PLEASE READ THESE TERMS OF SERVICE CAREFULLY BEFORE USING THIS WEBSITE OR PLACING AN ORDER. Welcome to Silentias. This website at silentias.com, together with any subdomains and affiliated pages (the "Site"), is owned and operated by Silentias LLC ("Silentias," "we," "our," "us"). These Terms of Service (the "Terms") govern your access to the Site and your purchase of any product from us.

By accessing the Site, creating an account, subscribing, or placing an order, you agree to these Terms. If you do not agree to them in full, you are not authorized to use the Site.

We may update these Terms from time to time by posting a revised version on this page. The effective date above tells you when the current version took effect. Your continued use of the Site after a revision is posted constitutes your acceptance of the revised Terms.

One

Eligibility and site use

By using the Site and agreeing to these Terms, you represent that you are at least eighteen years old and at least the age of majority in your state of residence, that you have the legal capacity to enter into a binding contract with us, and that you have read and understood these Terms.

Our Privacy Policy, Shipping Policy, and Refund Policy are incorporated into these Terms by reference and form part of your agreement with us.

Two

Important safety information and acknowledgment of risk

2.1 Not a medical device, not medical advice

Silentias Hydrating Sleep Strips are a wellness product. They are not a medical device and are not intended to diagnose, treat, cure, or prevent any disease or condition. Statements made on this Site have not been evaluated by the Food and Drug Administration. Nothing on this Site is medical advice or a substitute for the judgment of a qualified healthcare provider. Consult your physician before using the product if you have any question about whether it is appropriate for you.

2.2 Who the product is for

Silentias products are intended only for adults who can breathe comfortably and continuously through the nose with the mouth closed, and who are able to remove the strip independently at any time.

2.3 Do not use

DO NOT USE A SILENTIAS PRODUCT IF ANY OF THE FOLLOWING APPLIES TO YOU:

You have been diagnosed with, or suspect you may have, obstructive sleep apnea or any other sleep-disordered breathing condition, unless a licensed physician has specifically advised you that use is appropriate;
You have difficulty breathing through your nose for any reason, including congestion, allergies, illness, injury, or anatomical or structural conditions;
You have consumed alcohol, sedatives, sleep aids, narcotics, muscle relaxants, or any other substance that may impair your breathing, awareness, judgment, or ability to remove the strip;
You are unable to remove the strip independently and without assistance;
You are pregnant;
You are under eighteen years of age;
You have broken, irritated, or damaged skin in the area of application;
You have any medical condition that could make restricted mouth breathing unsafe.

2.4 Stop using the product immediately if

You experience difficulty breathing, shortness of breath, dizziness, lightheadedness, nausea, chest discomfort, skin irritation, disrupted sleep, or any other adverse effect. Remove the strip, discontinue use, and seek medical attention where appropriate.

2.5 Your acknowledgment and assumption of risk

BY PURCHASING, USING, OR ALLOWING ANOTHER PERSON TO USE A SILENTIAS PRODUCT, YOU ACKNOWLEDGE, REPRESENT, AND AGREE THAT:

You have read Section 2 in full and understand it;
You are able to breathe comfortably through your nose with your mouth closed, and you are able to remove the strip independently at any time;
To the best of your knowledge, none of the conditions listed in Section 2.3 applies to you;
You understand that applying an adhesive strip over the mouth during sleep carries risks, which include but are not limited to restricted airflow, difficulty breathing, discomfort, skin irritation or allergic reaction, disrupted sleep, anxiety, and other risks that may not be foreseeable;
If you give, share, or otherwise make the product available to another person, you will provide them with these instructions and warnings first, and you accept responsibility for doing so;
You voluntarily and knowingly assume all risks associated with the use of Silentias products, to the fullest extent permitted by applicable law.

2.6 No guaranteed results

We make no guarantee that you will achieve any particular sleep, wellness, or other outcome. Individual results vary based on factors unique to each person, including age, health, sleep environment, and habits.

Three

Prohibited conduct

You agree not to use the Site for any unlawful purpose. Without limiting that, you agree not to: attempt to gain unauthorized access to the Site or its systems; interfere with or circumvent any security feature; upload or transmit any virus or malicious code; scrape, harvest, or track the personal information of other users; post abusive, obscene, defamatory, harassing, or discriminatory material; submit false or misleading information; infringe our intellectual property or that of any third party; or violate any applicable law or regulation.

We may suspend or terminate your access to the Site, decline to fulfill orders, or take any other action permitted by law if we determine in our reasonable judgment that you have violated these Terms or that your conduct harms Silentias, our customers, or our business.

Four

Personal use only, no resale

Products purchased from the Site are sold for your personal, non-commercial use only. You agree not to resell, redistribute, relabel, modify, or export any product purchased from us.

Products sold outside our authorized channels may have been stored, handled, or represented in ways we cannot verify, which can affect product condition and safety, and we cannot honor any guarantee on them.

We reserve the right to limit, decline, or cancel any order that, in our sole judgment, appears to be placed by a dealer, reseller, or distributor, or that is inconsistent with personal use.

Product information, pricing and availability

We work to keep product descriptions, pricing, promotions, and availability accurate and current. Even so, the Site may occasionally contain typographical errors, inaccuracies, or omissions. We reserve the right to correct any error and to change or update information at any time without prior notice, including after an order has been submitted.

We have made every effort to display the colors and images of our products accurately. We cannot guarantee that any display will render color exactly.

Prices, products, promotions, and offers are subject to change at our discretion and are void where prohibited. Certain products may be available in limited quantities or exclusively online.

Six

Payment

All charges are in United States dollars. By submitting payment information, you represent that you are authorized to use the payment method, that the information you provide is complete and accurate, and that sufficient funds are available.

We and our payment processors may receive updated card information from your card issuer, such as a new card number or expiration date, and may update your saved payment method accordingly. If you prefer to opt out of your issuer's account updater service, contact your card issuer directly.

We are not responsible for fees charged by your bank or card issuer. If a charge is reversed, we may seek payment through another method.

Silentias reserves the right to dispute fraudulent chargebacks, and may submit order records, delivery confirmation, account history, IP address information, and customer communications to payment processors and financial institutions in support of a dispute.

Subscriptions and automatic renewal

IF YOU ENROLL IN A SILENTIAS SUBSCRIPTION, YOUR SUBSCRIPTION WILL RENEW AUTOMATICALLY AND YOUR PAYMENT METHOD WILL BE CHARGED ON A RECURRING BASIS UNTIL YOU CANCEL.

7.1 What you are agreeing to

Before you complete a subscription purchase, we disclose the subscription price, the billing frequency, and the fact that the subscription renews automatically. By completing the purchase you give your affirmative consent to recurring charges on those terms. We will send you an order confirmation by email that restates them.

7.2 Billing

Your first charge is processed when you place your order. Each renewal is charged on the same cycle at the then-current price for your plan, unless we have notified you of a price change in advance. Founding member pricing, where offered, is honored for as long as your subscription remains active and continuous. If you cancel, you may lose that pricing, and any future subscription will be at the then-current standard price.

7.3 Cancellation

You may cancel at any time, online, through your customer account portal, in no more steps than it took to subscribe. You may also cancel by emailing support@silentias.com. Cancellation takes effect at the end of your current billing period. You will not be charged again after you cancel, and you keep any order already paid for and shipped.

You may also pause or skip an upcoming order, or change your delivery address, through your customer account portal.

7.4 Price changes

If we change the price of your plan, we will notify you by email before the change takes effect and you will have the opportunity to cancel before being charged the new amount.

Eight

Orders, shipping and delivery

8.1 Order acceptance

Your order confirmation acknowledges that we received your order. It does not constitute our acceptance of it. We reserve the right to decline or cancel any order for any lawful reason, in which case we will refund your original payment method in full. We may request additional information before processing an order.

8.2 Shipping

Silentias currently ships within the United States. Orders generally ship within two business days. Weekends and holidays are excluded from processing time. You will receive tracking information by email when your order ships. Shipping timeframes are estimates and are not guaranteed. Risk of loss passes to you when the carrier receives the order. Shipping charges and delivery estimates are set out in our Shipping Policy.

8.3 Address accuracy

An accurate shipping address is required. We are not responsible for delayed or undelivered orders resulting from an address entered incorrectly. If you notice an error after placing your order, email support@silentias.com immediately. We often ship the same day, so we cannot guarantee that we can modify or cancel an order before it leaves.

8.4 Proof of delivery

You agree that delivery confirmation provided by the carrier is sufficient proof of delivery, with or without a signature.

Nine

Returns and refunds, the Silentias Promise

Sealed and unopened products may be returned within fourteen days of delivery for a full refund. Return shipping is the customer's responsibility.

For hygiene reasons, opened or used products are final sale.

If your order arrives damaged or defective in transit, we will replace it at no cost and we do not require a return. Please send a photograph to support@silentias.com within seventy-two hours of delivery.

If you receive the wrong item because of our error, we will provide a full refund or a replacement.

Once a return is received and processed, refunds may take several business days to appear, depending on your financial institution. Full details are set out in our Refund Policy.

Ten

Reviews, testimonials and submissions

We welcome your feedback. Anything you submit to us or post about us, including photographs, videos, reviews, testimonials, comments, ideas, and suggestions ("Submissions"), is treated as non-confidential and non-proprietary.

By making a Submission, you grant Silentias a worldwide, royalty-free, perpetual, irrevocable, transferable, and sublicensable right to use, reproduce, adapt, publish, display, distribute, and create derivative works from that Submission, in whole or in part, in any medium and for any purpose, including advertising and marketing, together with the name, handle, or likeness you provided.

You represent that your Submission is truthful, reflects your honest experience, is your own, and does not infringe the rights of any third party.

Testimonials reflect the experience of the individual who provided them and do not represent the typical or expected result for every customer.

Eleven

Social media and third party links

Our presence on social platforms is hosted by companies we do not control, and those platforms have their own terms and privacy policies. Comments and opinions posted by users are their own and do not represent Silentias. We have no obligation to monitor or remove user comments, and content moderation on those platforms is governed by the platform's own procedures.

The Site may link to third party websites or contain third party materials. We are not responsible for them and are not liable for any transaction you make with a third party. Please review their policies before engaging with them.

Twelve

Disclaimer of warranties

EXCEPT WHERE PROHIBITED BY LAW, THE SITE AND ALL PRODUCTS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SILENTIAS DISCLAIMS ALL WARRANTIES, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SITE OR ANY PRODUCT WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS, THAT THE SITE WILL BE UNINTERRUPTED OR ERROR FREE, OR THAT THE SITE OR ITS SERVERS ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

SOME STATES DO NOT ALLOW THE EXCLUSION OF CERTAIN IMPLIED WARRANTIES, SO SOME OF THESE EXCLUSIONS MAY NOT APPLY TO YOU, AND YOU MAY HAVE ADDITIONAL RIGHTS UNDER THE LAW OF YOUR STATE.

Thirteen

Limitation of liability

EXCEPT WHERE PROHIBITED BY LAW, IN NO EVENT SHALL SILENTIAS LLC OR ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO THESE TERMS, THE SITE, OR ANY PRODUCT, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THIS INCLUDES WITHOUT LIMITATION LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, AND COST OF SUBSTITUTE PRODUCTS.

IF, NOTWITHSTANDING THE FOREGOING, SILENTIAS IS FOUND LIABLE UNDER ANY THEORY, OUR TOTAL AGGREGATE LIABILITY AND YOUR EXCLUSIVE REMEDY SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO SILENTIAS IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS.

NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW. SOME STATES DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

Fourteen

Dispute resolution, arbitration and class action waiver

PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES YOU TO RESOLVE DISPUTES WITH SILENTIAS THROUGH INDIVIDUAL BINDING ARBITRATION AND WAIVES YOUR RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION, UNLESS YOU OPT OUT AS DESCRIBED BELOW.

14.1 Agreement to arbitrate

YOU AND SILENTIAS AGREE THAT ANY DISPUTE OR CLAIM ARISING OUT OF OR RELATING TO THESE TERMS, OUR PRIVACY POLICY, OUR ADVERTISING OR MARKETING, OR ANY SILENTIAS PRODUCT OR SERVICE SHALL BE RESOLVED BY BINDING, FINAL, INDIVIDUAL ARBITRATION BEFORE A SINGLE ARBITRATOR ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION UNDER ITS CONSUMER ARBITRATION RULES. THIS PROVISION IS GOVERNED BY THE FEDERAL ARBITRATION ACT, 9 U.S.C. SECTIONS 1 THROUGH 16. THE ARBITRATOR SHALL APPLY THE SUBSTANTIVE LAW OF THE STATE OF TEXAS TO THE EXTENT CONSISTENT WITH THE FEDERAL ARBITRATION ACT, AND SHALL HAVE EXCLUSIVE AUTHORITY TO DETERMINE WHETHER A CLAIM IS ARBITRABLE.

14.2 Class action waiver

THE ARBITRATOR MAY RESOLVE DISPUTES ONLY BETWEEN YOU AND SILENTIAS INDIVIDUALLY, AND MAY NOT CONSOLIDATE CLAIMS OR HEAR CLASS OR REPRESENTATIVE CLAIMS. IF A COURT OR ARBITRATOR DETERMINES THAT THIS WAIVER CANNOT BE ENFORCED AS TO A PARTICULAR CLAIM OR REMEDY, THAT CLAIM OR REMEDY ALONE SHALL PROCEED IN COURT AND ALL OTHER CLAIMS SHALL REMAIN IN ARBITRATION.

14.3 Exceptions

Either party may bring an individual claim in small claims court if it qualifies. Silentias may seek injunctive or equitable relief in the state or federal courts located in Texas for any actual or threatened infringement or misappropriation of its intellectual property, and you consent to personal jurisdiction and venue in those courts for that purpose.

14.4 Your right to opt out

YOU MAY OPT OUT OF THIS ARBITRATION PROVISION WITHIN THIRTY DAYS OF YOUR FIRST PURCHASE BY SENDING WRITTEN NOTICE STATING YOUR NAME, THE PRODUCT PURCHASED, AND YOUR INTENT TO OPT OUT OF ARBITRATION TO:

Opting out has no effect on any other part of these Terms and will not affect your purchase, your subscription, or your relationship with us in any way.

14.5 Governing law and venue

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Any claim not subject to arbitration shall be brought exclusively in the state or federal courts located in Texas.

Nothing in these Terms removes or limits any mandatory consumer protection right you may have under the law of your place of residence.

Fifteen

Indemnification

To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless Silentias LLC and its members, managers, officers, employees, contractors, agents, suppliers, and service providers from and against any claims, losses, liabilities, damages, demands, costs, and expenses, including reasonable attorneys' fees, arising out of or related to your breach of these Terms, your breach of any representation or warranty you make in these Terms, your misuse of any Silentias product, or your violation of any law or the rights of any third party.

Sixteen

Intellectual property

16.1 Ownership

All content on the Site, including text, photographs, video, illustrations, graphics, layouts, designs, compilations, and software (the "Content"), is owned by or licensed to Silentias LLC and is protected by copyright, trademark, trade dress, and other laws. Nothing on the Site transfers any ownership interest to you.

16.2 Limited license

You may view, copy, print, and download Content for your personal, non-commercial use only, provided you retain all copyright and proprietary notices. You may not reproduce, republish, distribute, sell, license, mirror, or create derivative works from the Content, or use it to build a business or other enterprise, without our prior written consent. This restriction applies whether or not you charge for the derivative material.

16.3 Trademarks

The Silentias name, the Silentias wordmark and logo, "Rest, refined.", and all related marks are trademarks of Silentias LLC, whether registered or unregistered. Nothing on the Site grants any license or right to use them. You may not use any Silentias mark in advertising, publicity, or as a link without our prior written consent.

16.4 Copyright complaints

If you believe material on the Site infringes your copyright, send a notice under the Digital Millennium Copyright Act to our designated agent:

Your notice must include: a description of the copyrighted work; a description of the allegedly infringing material and information sufficient to locate it; your contact information; a statement that you have a good faith belief the use is not authorized by the copyright owner, its agent, or the law; a statement under penalty of perjury that the information is accurate and that you are authorized to act on the owner's behalf; and your physical or electronic signature.

Seventeen

Events beyond our control

Silentias is not liable for any delay or failure to perform caused by events beyond our reasonable control, including natural disasters, severe weather, carrier disruptions, labor disputes, government action, public health emergencies, customs delays, supply chain interruptions, and internet or utility outages.

Eighteen

General provisions

18.1 Electronic communications

You agree that we may communicate with you electronically, and that notices, disclosures, agreements, and other communications we provide electronically satisfy any legal requirement that they be in writing.

18.2 Assignment

You may not assign your rights under these Terms, and any attempt to do so is void. Silentias may assign or transfer these Terms, in whole or in part, without notice or consent, including in connection with a merger, acquisition, financing, sale of assets, or reorganization.

18.3 No waiver

Our failure to enforce any provision of these Terms is not a waiver of that provision or of any other provision, and is not a waiver of our right to enforce it later.

18.4 Severability

If any provision of these Terms is held unlawful, void, or unenforceable, that provision shall be enforced to the fullest extent permitted and severed to the extent it cannot be, and all remaining provisions shall continue in full force.

18.5 Survival

Sections 2, 4, and 10 through 18, together with any representation or warranty you have made, survive termination of these Terms.

18.6 Entire agreement

These Terms, together with our Privacy Policy, Shipping Policy, and Refund Policy, constitute the entire agreement between you and Silentias regarding the Site and your purchases, and supersede any prior agreement or understanding. Any ambiguity shall not be construed against either party by reason of authorship.
